BY-LAWS OF THE SOUTH DAKOTA ARCHÆOLOGICAL SOCIETY

As Amended at the Annual Meetings in 1996, 1997, and 2016

 

Article I: Membership

        1. Any person or institution interested in archæology and in furthering the purposes of the Society as set forth in the Articles of Incorporation and supporting the Code of Ethics as defined in Article V of the By-Laws may be a member of this Corporation by making application therefor and paying dues for the appropriate classification.
          1. There shall be four classes of membership:
            1. Individual
            2. Family
            3. High School students or any person enrolled in an undergraduate degree program are eligible for this class of membership. They will not receive as part of their membership, the pub- lication known as South Dakota Archæology.

Article II: Officers and Board of Directors

        1. There shall be a President, Vice-President, Secretary, and Treasurer, who shall be elected by a majority of the members in good standing present at the annual These officers shall serve until the next meeting or until their successors are elected.

Article III: Meetings

        1. There shall be an Annual Meeting of the Corporation. A majority of the members at the annual meeting shall decide the approximate time and host chapter for the next annual meeting. Minor changes in time and place due to unforeseen circumstances may be made by the board.
        2. A Special Meeting of the Corporation may be called by the President, or in his/her absence, the Vice-President, or the Board of Directors, or upon demand therefor in writing stating the object and purpose of such meeting signed by not less than ten (10) percent of the Members.
        3. Notice of the Annual Meeting shall be published in the Society’s Newsletter. Notice of a Special Meeting will be mailed to each of the Members not less than 20 days prior to such

Article IV: Amendments

        1. Any proposed amendments to these By-Laws may be introduced by any Member of the Corporation at any Annual Meeting or at a Special Meeting called for such purpose. A simple majority of the Members present shall be sufficient to pass any such amendment. In the event a Special Meeting is called for the purpose of amending such By-Laws, a copy of such proposed amendments shall be mailed to each Member along with the notice of such meeting.

 

Article V: Code of Ethics

We, the members of the South Dakota Archæological Society, believe that the archæological record is an irreplaceable part of our past and that its protection and wise use are charged to our care and that of our descendants. We also believe that those who practice archæology, whether on a professional or avocational basis, share a common goal in seeking to preserve and make the best use of the archæological record. South Dakota Archæological Society members will automat- ically be expelled from membership if convicted of breaking/violating a law or laws designed to protect: archæological sites and artifacts; historical sites and artifacts; paleontological sites and fossils; and any educational or scientific site.

 

Article VI: Publications

Publication, being central to the Society’s purpose, will be encouraged. All decisions on publications will be made by majority vote at an annual meeting. Each dispersion of funds from the Book Fund (Publication Account) will be upon approval by the Board of Directors.
